Student Terms of Use

These Student Terms of Use (the "Student Terms") govern your use of Lumion’s websites, products, services, and applications (the "Services") if you are a student, prospective student, or Payer of a school that uses Lumion (your "School"). They are a binding contract between you and MIA SHARE, INC. D/B/A LUMION ("Lumion," "we," and "us"). Using the Services means you agree to these Student Terms and our Privacy Policy at https://www.lumion.ai/privacy-policy. Capitalized terms not defined here have the meanings in the Privacy Policy.

Lumion isn’t a party to your enrollment agreement, retail installment contract, or any educational program offered by your School. Lumion provides the technology platform your School uses to operate. Your enrollment, tuition, grades, and financial aid are governed by your agreement with your School.

Please read carefully. These Student Terms cover communications (SMS, voice, AI-assisted), payments, electronic signatures, liability limits, a class action waiver, and binding arbitration with a 30-day right to opt out (Section 16). If you don’t agree, please don’t use the Services.

Defined Terms

"AI Agent" and "Career Connections and Offers" have the meanings in the Privacy Policy. "Payer" means a natural person or legal entity that initiates, or agrees to initiate, a Student Payment on a Student’s account. "Privacy Policy" means Lumion’s Privacy Policy at https://www.lumion.ai/privacy-policy, as updated from time to time. "Retail Installment Contract" or "RIC" means a contract between you (or another Payer) and your School (or its assignee) for tuition payment in installments; an "IBRIC" is an interest-bearing RIC. "School" means an educational institution that uses Lumion. "School Terms of Use" means Lumion’s Terms of Use for school customers. "Servicing Payment Processor" has the meaning in Section 5. "Student" has the meaning in the Privacy Policy and includes prospective students and individuals expressing interest in enrollment. "Student Payment" means any amount a Payer owes a School for tuition or related charges. Other capitalized terms have the meanings in the Privacy Policy.

1. Eligibility and Accounts

You must be 18+. If 13-17, you may use the Services only if (a) your School allows under-18 enrollment, (b) your parent or guardian agrees on your behalf, and (c) your School supervises your use. Under 13s may not use the Services.

You qualify if you are: (a) a current or prospective student of a School that uses Lumion (enrolled, accepted, applying through Lumion, or expressing interest); or (b) a Payer (a person or entity that initiates, or agrees to initiate, a Student Payment on a student’s account). Your School may provision your access; applicants may access Lumion’s application and intake features directly. Once enrolled, your access is subject to your School’s enrollment agreement, code of conduct, student handbook, and other policies (the "School Policies"). Your School may use Lumion (including AI features and agents) and our service providers to contact you by SMS, MMS, RCS, voice, email, in-app, push, and other channels. If these Student Terms and School Policies conflict, these Student Terms govern your relationship with Lumion; School Policies govern your relationship with your School.

Provide accurate, current information and keep it updated. Keep your credentials confidential. You’re responsible for all activity on your account. Don’t impersonate anyone, share credentials, or transfer your account without our prior written consent.

2. Description of Services

Lumion provides software your School uses to run its institution. Depending on your School’s configuration, the Services may let you: view enrollment, course, and account information; communicate with your School; make tuition and related payments ("Student Payments"); apply for, review, and electronically sign Retail Installment Contracts ("RICs") and Interest-Bearing Retail Installment Contracts ("IBRICs"); access digital learning content; submit information and signatures; and discover employment opportunities and offers through Career Connections and Offers (Section 9A), among other solutions. Your School controls most of the information in your account, and Lumion processes it on your School’s behalf as a service provider.

3. Communications and Consent

Email. By providing your email, you agree to receive administrative messages, service notices, and promotional messages about employment, partner offers, continuing education, and other commercial offers ("Offer Emails"). Some are required for the Services. Unsubscribe from Offer Emails via the unsubscribe link.

SMS, MMS, and RCS. When you provide your phone number, you may separately opt in to receive SMS, MMS, and RCS messages from Lumion, your School, and our messaging providers using the consent controls shown during signup, enrollment, or account setup. These controls may include separate consent for: (i) administrative and transactional messages; (ii) marketing messages, including Career Connections and Offers; and (iii) one-time two-factor authentication (2FA) or security verification codes for login, authentication, or account security. Consent to marketing messages isn’t required for transactional use, for receiving the Services, or as a condition of any purchase. You may opt out of marketing messages at any time, with no effect on transactional messages or your use of the Services, by replying STOP to any marketing message, adjusting your account settings, or contacting support@lumion.ai. Message and data rates may apply; frequency varies. Reply HELP for help. Your phone number and opt-in data won’t be shared with third parties or affiliates for marketing.

Voice and AI Voice Calls. By providing your phone number and accepting these Student Terms and the Privacy Policy, you give your prior express written consent to receive voice calls (including AI-generated, prerecorded, and auto-dialed calls) from Lumion, your School, and our calling providers for administrative, AI-assisted, and marketing purposes (including Career Connections and Offers). Consent to marketing calls isn’t required for transactional use, for receiving the Services, or as a condition of any purchase. You may opt out of marketing calls at any time, with no effect on transactional calls or your use of the Services, by saying STOP during a call, adjusting your account settings, or contacting support@lumion.ai. Calls may be recorded for quality, training, and compliance, including in states requiring two-party consent. AI voice agents identify themselves as automated as required by law.

Career Connections and Offers Messages. By accepting these Student Terms, you separately consent to receive Career Connections and Offers messages as described in Section 9A, delivered through the channels described above. This consent is separate from your consent to administrative and transactional messages and is not required for use of the Services or as a condition of any purchase. You may withdraw Career Connections consent at any time using the opt-out methods in this Section 3.

AI-Assisted Communications. Some communications are generated or assisted by AI agents on your School’s behalf. The School is the sender; Lumion provides the technology. The system identifies itself as automated as required by law.

4. Electronic Records and Signatures

You agree to receive required communications, agreements, notices, and disclosures electronically, and to use electronic signatures (including for RICs, IBRICs, payment authorizations, and ACH authorizations). Your electronic signature has the same legal effect as a handwritten signature. To access and keep electronic records, you need an internet-connected device, an email address, PDF software, and storage. To withdraw consent or request paper copies, contact support@lumion.ai; doing so may limit your use of the Services. Tell Lumion promptly if your contact information changes.

5. Student Payments

Lumion provides the platform your School uses to collect Student Payments and processes them on your School’s behalf as the School’s service provider. The payment obligation, fee amounts and types (including any convenience fees, surcharges, return fees, and late fees), refund eligibility, collections, and chargeback consequences are governed by your Retail Installment Contract, IBRIC, enrollment agreement, payment plan agreement, or other applicable agreement with your School (collectively, your "School Payment Agreement") and applicable law, not these Student Terms. Lumion isn’t a lender, financial advisor, or credit counselor and doesn’t make credit decisions.

(a) Authorized Charges. You authorize Lumion and its Servicing Payment Processors (currently Centavo, Inc. d/b/a Payabli ("Payabli") and Finix Payments, Inc. ("Finix")) to charge your payment method on your School’s behalf for amounts and fees set by your School Payment Agreement and disclosed at the time of payment.

(b) Recurring Payments. If you schedule recurring payments, you authorize Lumion and its Servicing Payment Processors to charge on the agreed schedule until you cancel. Cancel via your School, support@lumion.ai, or account settings. Charges already in process may still go through.

(c) Accuracy. Keep payment info current. Tell Lumion promptly about any change, loss, theft, or suspected unauthorized use.

(d) Servicing Payment Processors. Student Payments are also subject to the terms and privacy policies of Payabli (https://www.payabli.com/documents-payabli-terms-of-use/) and Finix (https://finix.com/terms-and-policies). Stripe is used only for School-side subscription billing under the School Terms of Use.

(e) Direct Payments. If you pay your School outside the Services, your School remains responsible for any servicing fees owed to Lumion.

6. Retail Installment Contracts

If you accept a RIC or IBRIC through the Services: (i) it’s a contract between you and your School (or its assignee), not Lumion, which provides the technology platform; (ii) your obligations are governed by the contract and applicable law (including the Truth in Lending Act and Regulation Z for IBRICs and state retail installment sales acts); (iii) you authorize Lumion to share contract information with your School, its lenders or assignees, and our servicing partners as needed for billing, payment processing, customer service, and collections; and (iv) Lumion isn’t a lender, broker, financial advisor, or credit counselor, doesn’t make credit decisions, and doesn’t guarantee any outcome.

7. Acceptable Use

You will not use the Services in any manner that: (1) violates any law (including export control, privacy, financial aid, or consumer protection laws); (2) provides false or fraudulent information for any application, payment, or financial aid; (3) infringes IP, privacy, publicity, or other rights; (4) is fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise harmful; (5) attempts to access another user’s account or security information; (6) breaks network security or cracks passwords; (7) reverse engineers the Services (except as permitted by law); (8) copies or stores significant portions of content other than for personal use; (9) transmits viruses or disrupts the Services; or (10) uses the Services for any commercial purpose beyond your own educational and payment activities. Violations may result in suspension or termination, and may be reported to your School and law enforcement.

8. Intellectual Property

All materials in the Services ("Content") are protected by intellectual property laws and owned by Lumion or its licensors. We grant you a limited, non-exclusive, non-sublicensable, non-transferable, revocable license to use the Services and Content solely for your personal use as a student or Payer. Any other use is prohibited.

You retain ownership of content you submit. You grant Lumion and your School a non-exclusive, royalty-free, worldwide, sublicensable license to use, host, store, reproduce, modify, transmit, and display that content as necessary to provide the Services and as permitted by our Privacy Policy. You represent that you have all rights necessary to grant this license.

9. Privacy

How Lumion collects, uses, and discloses personal information is described in our Privacy Policy at https://www.lumion.ai/privacy-policy. The Services use AI and machine learning across many features (matching, communications, account triage, and more); see the Privacy Policy for details on AI use, automated processing, and applicable opt-outs. For education records, Lumion acts as a "school official" with a "legitimate educational interest" under the Family Educational Rights and Privacy Act ("FERPA"). Contact your School to exercise FERPA rights.

9A. Career Connections and Offers

Career Connections and Offers helps you find employment, financial product offers, continuing education, and other commercial offers. You participate by default.

(a) In-Platform Display. Lumion may show employer matches and offers based on info about you (School, program, location, completion status, platform activity). In-platform display alone doesn’t share your personal info with employers or partners.

(b) Notifications. Lumion may notify you through Section 3 channels, with the same opt-out options.

(c) Student-Initiated Disclosures. When you apply, ask to be contacted, redeem an offer, or take similar action that shares your info with an employer or partner, your action authorizes the sharing. The receiving party’s use is then governed by its own privacy practices and law.

(d) Aggregated and De-identified Data. Lumion may create and use aggregated and de-identified data sets (that don’t identify any individual) for any lawful purpose, including licensing or selling them to employers, education partners, and other commercial partners.

(e) FERPA. For FERPA-covered Schools, Lumion won’t disclose your education records to employers or partners except as permitted by FERPA (with prior written consent from your School) or in de-identified form. Accepting these Terms isn’t FERPA consent.

(f) Your Choices. Turn off Career Connections email and SMS using Section 3 opt-outs or account settings. State residents may have additional opt-out rights; see the Privacy Policy.

(g) Lumion’s Compensation. Employers and partners may pay Lumion for placement, sponsored offers, student-initiated introductions, and aggregated or de-identified data products. Lumion doesn’t charge you for the program.

10. Third Party Services

The Services may include links to or integrations with third-party services Lumion doesn’t control, including Servicing Payment Processors and your School’s other vendors. Lumion isn’t responsible for third-party content or practices; use is at your own risk and subject to that party’s terms and privacy policies.

11. Changes to the Services

Lumion may add, modify, limit, or discontinue any feature at any time. We’ll try to give notice of material adverse changes when practical.

12. Termination

You may stop using the Services at any time. Lumion may suspend or terminate your access at any time, for any reason, including a violation. Your School may direct Lumion to suspend or terminate. Provisions that naturally survive (payment, IP, disclaimers, liability limits, indemnification, dispute resolution) remain in effect.

13. Disclaimers

The Services and Content are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. Lumion does not warrant that the Services will be uninterrupted, secure, or error-free.

Lumion is not responsible for accuracy of information posted by your School or any other user, for educational content or instruction provided by your School, or for any decisions by your School about your enrollment, grades, financial aid, refunds, or account. Some jurisdictions do not allow limitations on implied warranties, so the above may not apply to you.

The Student acknowledges that the Services include AI-generated content, recommendations, and communications that may contain errors, inaccuracies, or omissions. Lumion disclaims all liability for AI-generated output, including Career Connections matches, and the Student agrees that no AI-generated content constitutes professional advice of any kind.

14. Limitation of Liability

To the fullest extent permitted by law, in no event will Lumion or its affiliates, officers, directors, employees, agents, or licensors (the "Lumion Parties") be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, loss of goodwill, business interruption, or cost of substitute goods or services, arising out of or relating to these Student Terms or the Services, even if advised of the possibility.

The Lumion Parties’ total cumulative liability will not exceed the greater of (a) $100 or (b) amounts you paid to Lumion (not amounts paid to your School) in connection with the Services in the twelve months preceding the claim. Some jurisdictions do not allow these limitations, so they may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless the Lumion Parties from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of: (a) your use of the Services; (b) your violation of these Student Terms; (c) your violation of any law or third-party right; (d) your gross negligence or willful misconduct; or (e) any content you submit. Failure to deliver notice of any claim won’t reduce your indemnification obligations.

16. Dispute Resolution; Arbitration; Class Action Waiver

Please read carefully. This section requires binding arbitration and limits how you can seek relief. You may opt out of arbitration under subsection (m).

(a) Delegation. The arbitrator, not any court, shall determine all questions of arbitrability, including the scope, enforceability, and validity of this arbitration agreement and any defense to arbitration. This delegation is intended to be broadly construed.

(b) Informal Resolution. Before arbitration or a lawsuit, both parties will try in good faith for 60 days to resolve any dispute by contacting support@lumion.ai (or, for Lumion, your contact on file).

(c) Binding Arbitration. Except as stated below, any dispute relating to these Student Terms or the Services will be finally settled by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules (the "Rules") then in effect, before one arbitrator experienced in consumer and commercial contract disputes. Arbitration may be by videoconference, in Salt Lake County, Utah, or at a mutually agreed location. Judgment on the award may be entered in any court of competent jurisdiction.

(d) Costs. For claims that qualify for small claims court, the parties agree to bring such claims in small claims court instead of arbitration. For claims that do not qualify for small claims court, Lumion will pay the claimant’s initial arbitration filing fee for any individual claim where the amount in controversy does not exceed $75,000. All other arbitration costs, including arbitrator compensation and administrative fees, shall be borne by the claimant or allocated by the arbitrator in the final award. If the arbitrator determines that a claim or defense was frivolous or brought for an improper purpose, the arbitrator shall award all arbitration fees, costs, and reasonable attorneys’ fees to the prevailing party.

(e) Statute of Limitations. Any claim arising under or relating to these Student Terms or the Services must be commenced within one (1) year after the date the claimant knew or reasonably should have known of the facts giving rise to the claim. Any claim not commenced within this period is permanently barred. This limitation applies regardless of the nature of the claim or the legal theory upon which it is based.

(f) Damages Limitation. The arbitrator may award compensatory damages only and shall not award punitive, exemplary, or multiplied damages, except where a statute expressly provides for such damages and expressly prohibits waiver of such damages.

(g) Confidentiality. All arbitration proceedings, filings, evidence, and awards shall be confidential between the parties unless disclosure is required by law, court order, or to enforce an award.

(h) Discovery. Discovery shall be limited to (a) exchange of relevant documents directly related to the dispute, and (b) one deposition per side, not to exceed four hours. The arbitrator may expand discovery only upon a showing of substantial need and undue hardship.

(i) Waiver of Jury Trial. You and Lumion waive any rights to go to court and have a trial before a judge or jury.

(j) Class Action Waiver. You and Lumion agree that each party may bring claims only individually, not as a plaintiff or class member in any class, collective, or representative action. The arbitrator may not consolidate claims or hear any representative or class proceeding. If this waiver is unenforceable for any claim, that claim must be litigated in court under (n) below, and the rest of this Section 16 stays enforceable.

(k) Arbitrator Authority. The arbitrator shall not have authority to award relief to any person or entity that is not a party to the arbitration. The arbitrator’s authority is limited to the individual dispute between the parties and the arbitrator may not award relief that would affect non-parties or impose obligations on Lumion with respect to persons who are not parties to the proceeding.

(l) Mass Arbitration Protocol. If 5 or more substantially similar arbitration demands are filed against Lumion within any 90-day period by the same counsel, coordinated counsel, or counsel acting in concert: (i) the parties shall randomly select 5 demands as bellwether proceedings; (ii) only bellwether proceedings shall be filed with JAMS and proceed to resolution; all other demands are stayed pending bellwether resolution; (iii) Lumion’s fee obligations under Section 16(d) apply only to active proceedings, not stayed demands; (iv) within 30 days after all bellwether awards are issued, the parties shall mediate the remaining demands using bellwether outcomes as a framework; (v) if mediation does not fully resolve remaining demands, they shall proceed in batches of 10, activated at 60-day intervals; (vi) no filing fees, administrative fees, or arbitrator fees accrue for any stayed demand until that demand’s batch is activated. This Section 16(l) supplements and, where inconsistent, supersedes the JAMS Mass Arbitration Procedures. If JAMS declines to administer under this protocol, the parties shall use NAM (National Arbitration and Mediation) or another nationally recognized provider under equivalent batching procedures, and the remainder of this Section 16 shall remain in full force.

(m) 30-Day Opt-Out. Opt out by emailing support@lumion.ai with subject "Arbitration Opt-Out" within 30 days of first accepting these Student Terms. Include your name, account email, School name, and a clear opt-out statement. If you opt out, Sections 16(a)-(d) and 16(f)-(i) (delegation, informal resolution, binding arbitration, costs, damages limitation, confidentiality, discovery, jury trial waiver) won’t apply, but you will remain bound by Section 16(e) (statute of limitations), Section 16(j) (class action waiver), and Section 16(n) (court disputes). This means you may bring disputes in court, but only on an individual basis, not on a class basis, and subject to the one-year limitations period in Section 16(e).

(n) Court Disputes. For disputes not subject to arbitration, you and Lumion agree to exclusive jurisdiction of the state and federal courts in Salt Lake County, Utah, except small claims. Lumion may seek injunctive relief to prevent unauthorized use of the Services, infringement of intellectual property, or breach of confidentiality without posting a bond.

(o) Survival. This arbitration agreement survives termination of these Student Terms, any account deletion, and any assignment or transfer. It binds and benefits the parties, their successors, assigns, heirs, and legal representatives.

17. Choice of Law

These Student Terms are governed by the Federal Arbitration Act, applicable federal law, and the laws of the State of Utah, without regard to its conflict of laws principles, except that consumer protection laws of the state in which you reside that cannot be waived will continue to apply for your benefit.

18. Changes to These Student Terms

We may update these Student Terms. For material changes, we’ll notify you through the Services, by email, or another reasonable means. Continued use after the effective date is acceptance.

19. Miscellaneous

You may not assign these Student Terms or your account without our prior written consent; Lumion may assign these Student Terms, in whole or in part, without notice to or consent of the Student, including in connection with any merger, acquisition, reorganization, asset sale, or financing. If any provision is unenforceable, it will be limited to the minimum necessary, and the rest remains in effect. Failure to enforce isn’t a waiver. You’re responsible for taxes from your use of the Services. You and Lumion are independent parties; neither may bind the other. These Student Terms, the Privacy Policy, and any Additional Terms are the entire agreement between you and Lumion for the Services.

19A. Lumion SMS Terms and Conditions

Effective Date: May 15, 2026

  1. Lumion sends text messages on your School’s behalf, including responses to your questions; account, payment, scheduling, and other administrative communications; AI-assisted communications; and occasional marketing about employment, partner offers, continuing education, and other commercial offers.

  2. Cancel anytime by texting "STOP." We’ll send a confirmation and stop further messages. To rejoin, send "START."

  3. For help, reply "HELP" or contact support@lumion.ai.

  4. Carriers are not liable for delayed or undelivered messages.

  5. Message and data rates may apply. Frequency varies.
